The Law was adopted by the National Assembly on 26 April 2005 and promulgated by Royal Kram No. NS/RKM/0605/019 on 19 June 2005, thereby giving it full legal force throughout the Kingdom of Cambodia. This law was enacted to establish a comprehensive legal framework governing the formation, registration, organization, rights, and obligations of commercial enterprises operating in the Kingdom of Cambodia. The Law defines different forms of commercial enterprises, including partnerships and limited companies, and sets out the legal requirements for their establishment, governance, and operation. It aims to promote legal certainty, transparency, and efficiency in commercial activities, ensure proper registration and regulation of business entities, and facilitate domestic and foreign commercial transactions in accordance with Cambodian law. The Law thus supports the orderly development of the private sector and contributes to a predictable and stable business environment.
